Internet or TCP/IP link, Licensees agree to be bound by the terms of the license.
Terms and conditions relating to license fees and the length of the subscription
shall be in effect upon the start of the paid subscription, or free online access period.
Those who do not accept these terms and conditions should immediately exit from
the Database or service. Check with your organization’s Network Administrator for all
questions concerning the subscription terms and conditions of the license.

Property to which the United States is a party cover all Sears List of Subject Headings products.
Copyright on the data is held by GHP and its information providers. No part of the data may be
reproduced, published, sold, distributed, or stored in any manner other than as sanctioned by
applicable law or as set in an agreement from the information provider(s) or in a separate License Agreement.
Copyright is reserved on the retrieval software. Licensees may not sell, distribute, or
commercially exploit the software. Neither may Licensees decompile or reverse engineer or
otherwise attempt to reveal the proprietary techniques or structure used in the software of the database.
USE
This license permits Licensees to make searches of the database. Printing and downloading
functions are governed by United States Copyright Law and the institutional copyright policies of the Licensee.
INTERNET /TCP/IP/WWW USER LICENSE
This license permits the Licensee to provide single user access to the database and software
through access to the service. When additional simultaneous users are licensed usage is restricted
to the number covered by the applicable license fee.
LIABILITY
Although care has been used in preparing the database(s), GHP and its information providers
disclaim all liability for the use of the database(s). This is an "as is" database. GHP and its information
providers provide no warranties, express or implied, with respect to the database, software or
documentation including their quality, merchantability and fitness for a particular purpose.
GHP and its information providers shall not be liable for loss of profits, loss of use or incidental,
consequential, or exemplary damages as a result of such use. Licensees agree to indemnify and hold
GHP and its software licensors and information providers harmless from any claims arising from the
use of the information obtained from Sears List of Subject Headings products.
SUBSCRIPTIONS
Sears List of Subject Headings products are sold on a subscription basis, with updates as
required to the database(s). Sears List of Subject Headings services and databases shall not
be re-sold, loaned, shared, or otherwise distributed except as covered by the terms and conditions of this license.
DEFECTS
GHP warrants that the database(s) provided to Licensees are free of defects in materials and
workmanship and will function properly under normal use. Upon notification from Licensees, GHP will
undertake its best efforts to remedy any defects or faults. However, no waiver, breach or modification
shall be valid or binding unless in writing and signed by both parties.
GHP reserves the right to terminate this license with seven-(7) days written notice upon violation
of the terms and conditions of the license by the Licensee.
APPLICABLE LAW
This license will be governed by and construed in accordance with the laws of the State of New York.
TERM OF LICENSE AGREEMENT
Sears List of Subject Headings products are sold on a subscription basis. The term of this license agreement
shall be set by the period covered by the Licensee's subscription. Subscriptions commence with the receipt of
Licensee's receipt of authorized access codes and end coincident with the subscription period.
All records downloaded from Sears List of Subject Headings remain the property of GHP and are to be
deleted from the user's computer when the term of the license or subscription expires.
